12) Indemnification

You agree to defend, indemnify, and hold harmless Pacific Coast Legal Services, its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.

13) Suspension & Termination

We may suspend or terminate access to the Site or Services at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is otherwise harmful. Provisions which by their nature should survive termination shall survive.

14) Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Exclusive jurisdiction and venue shall lie in the state and federal courts located in Santa Clara County, California.

15) Dispute Resolution

Before filing a claim, the parties will attempt to resolve disputes informally. If unresolved within 30 days, either party may pursue claims in the courts specified above. You and we waive any right to a jury trial where permitted by law.

16) Changes to Terms

We may update these Terms from time to time. The “Effective Date” above indicates the latest revision. Continued use of the Site or Services after changes constitutes acceptance of the updated Terms.

17) Miscellaneous

• Severability. If any provision is held invalid, the remaining provisions remain in effect.
• Entire Agreement. These Terms and any policies referenced (including the Privacy Policy) constitute the entire agreement between you and us regarding the Site and Services.
• No Waiver. Our failure to enforce any right or provision is not a waiver of such right or provision.
